1. Agreement and scope
These Terms of Use and End-User Licence Agreement (“Terms”) govern access to and use of Straden's websites, AI-powered workflow agents, integrations, software, and related services (collectively, the “Services”).
“Straden,” “we,” “us,” and “our” mean Jamal Muckett-Sobers, a sole proprietor operating as Straden in Ontario, Canada. “Customer” means the registered business or other organization that has engaged Straden. “User” means an individual authorized by a Customer to use the Services.
These Terms apply to a Customer when an authorized representative signs or accepts a versioned agreement that incorporates them, or otherwise affirmatively accepts them after being presented with clear notice that acceptance or use constitutes agreement. Straden may retain the accepted version, date, and related contract record. Merely viewing Straden's public website does not bind an organization to the service provisions of these Terms.
If you use the Services for an organization, you represent that you have authority to bind or act for that organization. If a signed master services agreement, statement of work, data-processing agreement, or other written agreement conflicts with these Terms, the signed agreement controls for that Customer.
2. The Services
Straden designs and operates workflow agents that may connect to a Customer's systems, including Google Workspace and QuickBooks Online. Depending on the approved workflow, agents may access, organize, summarize, draft, route, create, or update project, customer, estimate, invoice, payment-status, and related operational records.
Services, integrations, permitted actions, approval checkpoints, fees, and support arrangements may be further described in a Customer's written agreement. Straden may modify the Services to improve operation, address risk, comply with law or provider requirements, or reflect changes to third-party services.
3. Licence and access rights
Subject to these Terms and any applicable Customer agreement, Straden grants each authorized User a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence during the applicable service term to access and use the Services solely for the Customer's internal business purposes.
No ownership rights are transferred. Users may not copy, sell, lease, distribute, reverse engineer, decompile, attempt to derive source code from, or create competing services from the Services except where applicable law does not permit that restriction.
4. Accounts, authority, and connected services
Customers and Users must provide accurate information, keep credentials secure, maintain appropriate access permissions, and promptly report suspected unauthorized access. A User may connect only accounts and data that the User is authorized to connect and process.
Connected services may grant Straden read and write access when authorized by the Customer and needed for an approved workflow. Access varies by deployment. Many applications use OAuth or a similar authorization process. An authorized User may disconnect an application through available Straden controls, through the application's own controls, or by contacting Straden. Where supported, disconnection revokes or invalidates the applicable authorization tokens and prevents new access through that connection. Signing out does not necessarily disconnect an application, and disconnection does not automatically delete information already processed.
Google, Intuit, Railway, Supabase, OpenAI, Anthropic, xAI, other AI providers, and other third-party services are governed by their own terms. Straden is not responsible for a third party's service, suspension, change, or outage.
5. Customer data and privacy
As between Straden and the Customer, the Customer retains all of its rights in its information, files, records, instructions, business materials, intellectual property, and other content submitted to or accessed by the Services (“Customer Data”). Straden does not acquire ownership of Customer Data or the Customer's intellectual property. The Customer authorizes Straden and its service providers to process Customer Data as reasonably necessary to provide, secure, support, and maintain the Services and as otherwise agreed in writing.
The Customer is responsible for having a lawful basis and giving any notices or obtaining any consents required for Customer Data processed through the Services. Straden's handling of personal information is described in the Privacy Policy.
Straden may create and own statistics, benchmarks, and industry insights derived from information that has been anonymized and aggregated so that it does not identify, and cannot reasonably be used to identify, the Customer, an individual, or confidential business information. The Customer may opt out of future use of its information for this purpose by contacting Straden or as provided in its service agreement. An opt-out does not require removal from statistics or insights already rendered anonymous and aggregated. Straden will not disclose one Customer's identifiable or reasonably re-identifiable information to another Customer or use identifiable information to train another Customer's agents without express written authorization.
6. AI output and human review
AI-generated or AI-assisted content can be incomplete, inaccurate, outdated, or unsuitable. The Services are workflow tools, not legal, tax, accounting, financial, engineering, safety, or other professional advice.
The Customer selects the connected systems, permissions, authorized actions, thresholds, and approval checkpoints for each deployment. Human review is provided only where configured or agreed; it is not present in every workflow. Customers and Users remain responsible for reviewing outputs and approvals appropriate to the risk of the task, particularly before sending communications, changing accounting records, making payments, entering contracts, or making decisions that affect a person or business.
The Customer remains responsible for its users' authority, source-system permissions, approval decisions, and actions taken on the Customer's instructions, while Straden remains responsible for performing its obligations under the applicable agreement. A configured approval step does not replace professional judgment.
7. Acceptable use
You must not use the Services to:
- break the law, infringe rights, mislead others, or facilitate fraud;
- access, disclose, alter, or delete information without authority;
- introduce malware, disrupt systems, bypass safeguards, probe vulnerabilities without written authorization, or interfere with another user;
- send spam or unlawful communications;
- make fully automated high-impact decisions about employment, credit, housing, insurance, health, legal rights, or similar matters without appropriate legal review and human oversight;
- send commercial electronic messages without the consents, sender identification, unsubscribe mechanism, records, and other measures required by Canada's anti-spam legislation or other applicable communications law;
- submit information that the Customer is not permitted to process through the Services; or
- use the Services to develop or benchmark a competing product except with Straden's written permission.
Straden may investigate suspected misuse and restrict access where reasonably necessary to protect the Services, clients, third parties, or legal compliance. Regulated or high-impact workflows, including health, employment, credit, insurance, or similar uses, require a separate written scope and appropriate legal, privacy, security, and human-oversight controls. The Customer is responsible for identifying laws and professional requirements specific to its industry and for maintaining required consents, notices, approvals, and records; Straden remains responsible for the compliance obligations expressly assigned to it in the applicable agreement.
8. Intellectual property
Straden and its licensors own the Services, including the software, agent frameworks, workflow designs, documentation, branding, methods, and improvements, except for Customer Data and third-party materials.
Customers retain ownership of their Customer Data, business records, intellectual property, and client-specific content. Straden retains ownership of its pre-existing and reusable software, agent frameworks, templates, skills, methods, orchestration patterns, and general improvements. Straden also owns generalized patterns, benchmarks, and industry insights derived from information that has been anonymized and aggregated so that it cannot reasonably identify the Customer, an individual, or confidential business information, without acquiring ownership of the underlying Customer Data.
Unless a signed agreement states otherwise, the Customer may use, copy, modify, share, and distribute paid-for client-specific reports, documentation, and outputs for any lawful purpose. This does not transfer ownership of Straden's underlying or embedded reusable software, frameworks, templates, skills, methods, or orchestration patterns. Access to Straden-operated workflows and configurations continues only during the applicable paid service term.
If you provide feedback, you permit Straden to use it without restriction or compensation, provided Straden does not identify you publicly without permission.
9. Availability and changes
We aim to operate the Services reliably, but we do not promise uninterrupted or error-free availability. Maintenance, security events, internet conditions, AI-provider limitations, integration changes, and third-party outages may affect service. Any service level commitment must be stated in a signed Customer agreement.
Straden may change, suspend, or discontinue a feature where reasonably necessary. Where practical and commercially reasonable, we will give affected Customers notice of a material change.
10. Fees
Fees, taxes, billing, renewal, and cancellation terms are governed by the applicable Customer agreement. If a User accesses only public website content, no fee is charged under these Terms.
11. Suspension and termination
A Customer or Straden may terminate Services as provided in the applicable Customer agreement. Straden may suspend access immediately where reasonably necessary to address a security risk, unlawful activity, material breach, non-payment, provider restriction, or risk to another person or system.
On termination, the licence ends and Users must stop using the Services. The Customer may request a reasonable export of Customer Data in a format available to Straden and may request deletion by contacting straden.agency@gmail.com. Connected accounts should be disconnected and applicable authorization tokens revoked or invalidated. Disconnection does not itself delete stored information. Data return, transition assistance, export, retention, and deletion remain subject to the applicable Customer agreement, available system capabilities, reasonable fees for additional transition work, and the Privacy Policy.
Sections that by their nature should survive will survive, including ownership, disclaimers, liability limits, and dispute provisions.
12. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available.” Straden disclaims implied warranties and conditions, including merchantability, fitness for a particular purpose, title, and non-infringement. Straden does not warrant that outputs will be accurate, that the Services will meet every requirement, or that access will be uninterrupted or error-free.
Nothing in these Terms excludes a warranty, condition, or right that applicable law does not allow the parties to exclude.
13. Limitation of liability
To the maximum extent permitted by applicable law, Straden will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, anticipated savings, or data, arising from or relating to the Services.
Straden's aggregate liability arising from or relating to the Services will not exceed the fees actually paid by the affected Customer to Straden for the Services during the 12 months before the event giving rise to the claim. If no fees were paid during that period, Straden's aggregate liability will not exceed CAD $100.
The exclusions and limit apply regardless of the legal theory and even if a remedy does not fully compensate for a loss. They do not apply to the extent prohibited by law. Any different allocation of liability in a signed Customer agreement will control for that Customer.
Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that applicable law does not permit a party to limit. The treatment of confidentiality, privacy, data-security, and intellectual-property claims may be further addressed in a signed Customer agreement.
14. Customer indemnity
The Customer will indemnify Straden against third-party claims, damages, and reasonable costs to the extent arising from: (a) Customer Data that infringes a third party's rights; (b) the Customer's unauthorized connection of an account or unauthorized processing of information; or (c) the Customer's material breach of the Acceptable Use section.
Straden must promptly notify the Customer of a claim, permit the Customer to control the defence with reasonably acceptable counsel, and provide reasonable cooperation at the Customer's expense. The Customer may not settle a claim in a manner that admits fault by Straden or imposes non-monetary obligations on Straden without Straden's written consent. Any different indemnity allocation in a signed Customer agreement will control for that Customer.
15. Governing law and disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Toronto, Ontario will have exclusive jurisdiction, unless a signed Customer agreement says otherwise or applicable law requires another forum.
16. Business eligibility and authority
The Services are offered to registered businesses and other legally recognized organizations, not to consumers for personal, family, or household use. If you are acting for personal, family, or household purposes, do not use the Services. Each User must have reached the age of majority in the province, territory, state, or country where the User resides and must have authority to act for the Customer.
17. General terms
If part of these Terms is unenforceable, the remaining provisions continue. A failure to enforce a provision is not a waiver. You may not assign these Terms without Straden's written consent; Straden may assign them in connection with a reorganization, financing, sale, or transfer of its business or assets, subject to applicable law.
These Terms, the Privacy Policy, and any applicable signed Customer agreement form the agreement relating to the Services. Straden may update these Terms prospectively. We will give affected Customers reasonable advance notice of a material change. Unless applicable law or a signed agreement permits earlier application, a material change takes effect on the stated date and continued use after that date constitutes acceptance. Changes do not retroactively alter accrued rights or claims.
